The legal practice of Kristen A. Perry focuses exclusively on transactional matters with an emphasis on intellectual property (trademark, copyright and trade secrets), general business matters and estate planning.
 
Counseling includes preparation, review or negotiation of licensing agreements; consulting agreements; independent contractor agreements; employment agreements; development agreements; co-branding and joint venture agreements; distribution agreements; non-disclosure and non-compete agreements; and complex or simple commercial leases. Representation also encompasses form-of-entity selection and formation, preparation of governing documents, and providing advice regarding changes in entity structure or dissolution.
 
Companies that seek Kristen’s representation are as varied in target markets as they are in size. A representative sampling of clients includes collegiate licensees; media consulting companies; software programmers; documentary filmmakers; “green” household products manufacturers; optical companies; independent contractors; specialty food providers; real estate developers; and companies providing varied niche goods and services.
 
In order to fully address clients’ legal needs, she has developed an Estate Planning component, co-counseling with a tax expert to ensure wealth preservation and effect strategic planning. The practice has been designed to develop relationships with clients that encompass an understanding of all facets of their lives— business interests, real estate holdings, and general financial condition—and thereby best address varying and changing legal needs.
 
Complementary practice areas include negotiation of commercial leases and land-use issues that often arise for business owners, whether for the purchase of developed or raw land or variances at the municipal level for the intended use of certain property.
 
Prior to forming the practice in May 2003, Kristen worked in the Technology and Intellectual Property Group of an “AmLaw 100” law firm, Boston-based Goodwin Procter, LLP, in the local New Jersey office. While there, she counseled clients in the protection and exploitation of intellectual property assets and rights. As part of this group, Kristen prepared a wide range of commercial and technology contracts, including outsourcing agreements, software licenses and non-disclosure agreements, as well as conducted licensing review and due diligence in relation to venture capital investment, private financing, mergers and acquisitions, strategic alliances, and joint ventures.
 
Kristen gained in-depth knowledge of the real estate and lending markets when working for firms that specialized in private banking, lending, and general real estate. She has kept up-to-date in these practice areas, as her clients typically require counsel regarding acquisitions, sales, financing, or leasing.
 
Kristen graduated cum laude from Seton Hall Law School and is an Order of the Coif member. She graduated with Highest Honors (summa cum laude) from Rutgers University. She is a member of the New Jersey and Hunterdon County Bar Associations and is admitted to practice law in New Jersey and New York.
